These Terms of Service ("Terms") govern your access to and use of the website located at solution-trading.com and any related services provided by Solution Trading Consultant Inc. ("STC", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility and Use of the Services

The Services are intended for business and professional users engaged in international commodity trading. By using the Services, you represent and warrant that:

• You are at least 18 years of age and have the legal capacity to enter into binding agreements.
• You are using the Services on behalf of a legitimate business entity or in a professional capacity.
• You are not located in, or acting on behalf of any person or entity located in, any jurisdiction that is the subject of comprehensive U.S. sanctions or other applicable trade restrictions.
• You will comply with all applicable local, state, national, and international laws and regulations in your use of the Services.

2. No Offer or Solicitation

The content on this Site, including but not limited to commodity descriptions, indicative specifications, and reference market prices, is provided for informational purposes only. Nothing on the Site constitutes:

• An offer to sell or buy any commodity
• A solicitation of an offer to buy or sell any commodity
• Investment, legal, tax, or trading advice
• A guarantee of price, availability, or terms of any transaction

Any commercial transaction with STC requires a separate written agreement signed by both parties, completion of our KYC/AML onboarding, and execution of a Letter of Intent or definitive contract. Prices, terms, and availability are subject to change without notice.

3. Reference Market Data Disclaimer

The live market ticker on the Site displays reference prices for publicly traded commodity futures (WTI, Brent, Heating Oil, Sugar #11, Gold) sourced from third-party data providers. STC does not warrant the accuracy, completeness, or timeliness of any reference data shown.

Reference market data:

• May be delayed by 15 minutes or more
• Is provided "as is" without warranty of any kind
• Does not represent indicative prices for any specific physical commodity transaction
• Is not intended for use as the basis for any trading or investment decision

STC is not liable for any loss arising from reliance on reference market data displayed on the Site.

4. Sanctions and Compliance

STC operates in strict compliance with U.S. sanctions administered by the Office of Foreign Assets Control (OFAC) and equivalent regulations in other jurisdictions. All counterparties are subject to sanctions screening prior to engagement. We do not transact with parties located in comprehensively sanctioned jurisdictions, including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions.

5. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, video, downloads, data compilations, software, and the compilation thereof, is the property of STC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

You may access and use the Site and its content for your personal, non-commercial, informational purposes only. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site without our prior written consent.

6. User Submissions

When you submit information through our contact form or other interactive features, you grant STC a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media for the purpose of evaluating and responding to your inquiry.

You represent and warrant that you own or have the necessary rights to submit any content you provide, and that your content does not infringe the rights of any third party or violate any applicable law.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We strongly recommend that you review the terms and privacy policy of any third-party site you visit.

9. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. STC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

STC does not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site or the servers that make it available are free of viruses or other harmful components.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE.

In no event shall STC's total liability for any claim arising out of or relating to the use of the Site exceed one hundred U.S. dollars (US$100).

11. Indemnification

You agree to defend, indemnify, and hold harmless STC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your access to or use of the Site, your violation of these Terms, or your violation of any third party's rights.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas.

13. Modifications to the Terms

We reserve the right to modify these Terms at any time. Material changes will be indicated by updating the "Last updated" date at the top of this page. Your continued use of the Site following any changes constitutes your acceptance of the new Terms.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and STC regarding the use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
